Terms and conditions of sale
1. Scope of application
These General Terms and Conditions (GTC) apply to all offers, sales, deliveries and services provided by SOS-Light Sàrl, unless otherwise agreed in writing.
All orders implyfull acceptance of these GTC.
The customer’s terms and conditions are expressly excluded, even if SOS-Light Sàrl does not explicitly object to them.
2. Offers and quotations
Offers and quotations issued by SOS-Light Sàrl are valid for 30 days, unless otherwise specified in writing.
Prices quoted are exclusive of VAT and any additional services not expressly mentioned in the offer.
SOS-Light Sàrl reserves the right to modify its prices in the event of :
- variation in supplier costs,
- exchange rate fluctuations,
- changes in standards, legal requirements or technical constraints.
3. Controls
An order is considered firm only after written confirmation from SOS-Light Sàrl.
Any modification or cancellation of an order is subject to prior written agreement.
Customized, configured or specially manufactured products (specific dimensions, colors, color temperatures, drivers, optics, cut-outs, etc.) cannot be returned or exchanged.
4. Prices and terms of payment
Unless otherwise agreed in writing, invoices are payable within 30 days net from the invoice date.
SOS-Light Sàrl reserves the right to demand :
- advance payment,
- a deposit,
- or payment on order, especially for new customers or specific projects.
In the event of late payment, SOS-Light Sàrl reserves the right to charge interest on arrears, to invoice administrative costs and to suspend current deliveries.
5. Delivery and lead times
Delivery times are given for information only.
Delays in delivery do not entitle the customer to claim compensation.
Partial deliveries are permitted.
Risk is transferred to the customer:
- when the goods are handed over to the carrier, or
- delivery to the agreed address.
6. Transport and receipt of goods
The customer must check the goods immediately upon receipt.
Any complaint concerning damage, shortages or non-conformities must be notified in writing within 48 hours, accompanied by proof (photos, carrier’s reservations).
After this period, the goods are deemed to have been accepted without reservation.
7. Returns and cancellations
No returns will be accepted without the prior written consent of SOS-Light Sàrl.
Custom-made products, samples, installed or used items cannot be returned or refunded.
Standard products accepted for return may be subject to restocking fees.
8. Warranty
SOS-Light Sàrl grants a 5-year warranty on all products, unless otherwise specified.
The warranty covers manufacturing defects only.
The following are excluded from the warranty :
- non-compliant installation,
- improper use,
- unauthorized modifications,
- normal wear and tear,
- incompatibility with non-validated systems (drivers, dimmers, DALI, etc.).
The warranty is limited, at the discretion of SOS-Light Sàrl, to the repair, replacement or refund of the product concerned.
9. Limitation of liability
The liability of SOS-Light Sàrl is strictly limited to the value of the product delivered.
Any liability for consequential damages, business interruption, loss of profit or contractual penalties is excluded to the extent permitted by law.
10. Intellectual property
All documents, studies, plans, calculations, diagrams, visuals and concepts supplied remain the exclusive property of SOS-Light Sàrl.
Reproduction or use without written permission is prohibited.
11. Privacy
The parties undertake to keep confidential all technical, commercial and financial information exchanged in the course of their collaboration.
12. Applicable law and place of jurisdiction
These GTC are governed by Swiss law.
The exclusive place of jurisdiction is Lausanne (VD).
13. Language
The GTC are written in French and English.
The French version is authoritative.
14. Entry into force
These General Terms and Conditions of Sale come into force on May 1, 2024 and replace all previous versions.
